As an extension of our advisory services, we defend the interests of our clients in these matters before the civil courts, National Commercial Arbitration Center (NCAC) as well as the Cambodian authorities.
1. Corporate compliance and licensing
PYT have extensive experiences advising foreign and local investors on corporate matters, licensing and compliance in Cambodia including:
- market-entry strategies and market access advice;
- company incorporation;
- application for qualified investment project (QIP) with CDC;
- Registration of the newly incorporated company with the Ministry of Labor and Vocational Training (MLVT) or Municipal MLVT and with the National Social Security Fund (NSSF);
- application for business licenses with competent authorities;
- corporate secretarial services;
- joint venture/shareholder agreement; and
- application for tax registration.
2. Employment
- Draft and advise employment contract both fixed duration contract (FDC) and unfixed duration contract (UDC);
- Draft internal regulations and apply for registration with MLVT;
- Application for quota to employ foreign employees;
- Application for work permit for foreign employees;
- Advice on the employment laws and compliance;
- Advice on process and benefits to pay for employment termination with or without valid reasons;
- Advise and represent various clients (both employees and employers) for any individual labor disputes before the labor inspectors of MLVT.
3. Capital markets
PYT is one of the very few firms in Cambodia that are registered with and accredited by the Securities and Exchange Commission of Cambodia (SECC) to advise and provide legal services on IPO and securities related matters. Our lawyers have great depth and extensive experiences in securities market.
Generally, our assistance involves, inter alias, pre-IPO examination and restructuring, preparing or reviewing the Underwriting Agreement, conducting legal due diligence and issuing report to the SECC, preparing disclosure documents (prospectus) with underwriter, briefing the issuer of the publicity and advertisement restriction, conducting director briefing and all other securities-related obligations.
4. Real estate and construction
- Land title due diligence;
- Conversion from soft title to hard title, strata titles, split up title, merge of titles;
- Conversion from agriculture land into construction or industrial land;
- Registration of land transfer, long term lease (including sublease), hypothec (mortgage);
- Negotiating and drafting land security documents including lease and hypothec;
- Negotiating and drafting land sale/purchase and property management agreements;
- Assistance for the application for construction permit, construction business license, real estate developer license, etc.;
- Advice on land holding structure for foreign investors and establishment of land holding companies (including drafting protection documents); and
- Advice on laws and regulations pertaining to property development including condominiums, resident projects, tourism developments, service apartments, economic land concessions, state property leases, and island concessions.
5. Merger and Acquisition (M&A)
Our experience allows us to provide comprehensive transactional services to our clients covering all the range of mergers and acquisitions operations (including LBO, private equity, restructuring). We propose legal solutions at every stage of the targeted transactions (structuring, negotiation and closing) to insure optimum outcomes.
6. Project Finance, Energy and Infrastructure
We advise clients on a wide range of energy and infrastructure related issues including negotiation, contract drafting (all range of Public-Private Partnership Agreements (PPPs) and Power Purchase Agreements (PPAs), relation with the authorities and dispute resolution. In addition to conventional power, our expertise covers renewable energy including solar, hydroelectric, and biomass projects.
7. Dispute resolution
PYT defends their clients’ interests in strategic corporate and commercial disputes. Their expertise is well recognized in the practice of company law, shareholder and governance disputes, as well as in stock exchange, financial and anti-competitive behavior litigation.
8. Translation and certification
PYT provides legal and standard translation of documents for individuals, companies, and institutions.
Our team are fluent in Khmer, English, and French and are able to provide timely translation of legal documentation such as agreements (sale, lease, mortgage, loan, pledge, joint venture, shareholders, merger, share subscription, stock option, hire purchase, dealership), internal regulation and policy, tax documents, licenses, regulations, and government documents, such as birth certificate, marriage certificate, and ID card, etc.
